RUN-LLP (Reserve Unique Name)
The RUN-LLP form reserves a unique name for your LLP before incorporation. You can propose up to two names, subject to the Ministry of Corporate Affairs (MCA) approval. The name reservation is valid 90 days from approval, ensuring no conflicts during incorporation.
FiLLiP (Form for Incorporation of LLP)
FiLLiP is the primary form for LLP incorporation. After reserving the LLP name, you must submit detailed information about the designated partners, registered office, and business objectives. All designated partners must digitally sign this form to confirm their agreement.
Form 3 – Filing LLP Agreement and Changes
Form 3 is used to file the LLP agreement and report any subsequent changes. This agreement outlines the partners’ roles and responsibilities. Filing must occur within 30 days of incorporation or changes to the agreement.
Form 4 – Change in Information of Partners/Designated Partners
Form 4 is used to notify the MCA of changes in partner details, such as personal information, appointments, or cessations. Filing must occur within 30 days of the change to ensure the LLP’s leadership records are up-to-date.
Form 5 – Change of LLP Name
LLPs use Form 5 to apply for a name change. It must be filed within 30 days of receiving approval for the new name and requires an amended LLP agreement reflecting the change.
Form 12 – Intimating Additional Address for Service of Documents
Form 12 notifies the MCA of an additional address where official communications can be sent. This ensures that the LLP receives all critical documents, even if they are sent to a different address from the registered office.
Form 15 – Change of Registered Office
Form 15 is filed to notify the MCA of changes in the LLP’s registered office address. The form must be filed within 30 days of relocation, ensuring the correct address for legal communications.
Form 22 – Notice of Intimation of Order
Form 22 is used to notify the Registrar of any court or tribunal orders affecting the LLP. This form ensures that legal decisions are reflected in the LLP’s records.
Form 23 – Direction to LLP to Change Its Name
If an LLP is directed to change its name due to similarity with another entity, Form 23 is filed to comply with the Registrar’s directive. This filing avoids legal disputes over name similarity.
Form 24 – Application for Striking Off Name
Form 24 is filed to strike off an LLP’s name from the register when it decides to cease operations. All partners must agree, and the LLP must have no liabilities and no operations in the last 12 months.
Form 25 – Name Reservation/Renewal for Foreign LLP (FLLP)
Foreign LLPs use Form 25 to reserve or renew their name before establishing a presence in India, ensuring the name is protected and compliant with regulations.
Form 27 – Registration of Particulars by Foreign LLP (FLLP)
Foreign LLPs use Form 27 to register specific details with the MCA after establishing a business presence in India. Filing must occur within 30 days of setting up the entity.
Form 28 – Reporting Alteration/Closure of Foreign LLP
Foreign LLPs file Form 28 to report changes in their incorporation documents or notify the MCA of their closure in India. Filing must occur within 30 days of the change or closure.
Form 31 – Application for Compounding of an Offence
Form 31 allows LLPs or their partners to settle compoundable offences by paying the penalty rather than facing prosecution, efficiently resolving compliance issues.
Form 32 – Filing Addendum for Rectification
Form 32 is used to rectify defects or incompleteness in previously filed forms. If the Registrar identifies issues, this form ensures corrections are made within 30 days.
